Conclusion of Contract: The following Standard Terms & Conditions shall be applicable for all quotations issued by Skyra Professional Equipment Pvt. Ltd., herby referred to as ‘Skyra’, from the enquirer, herby referred to as ‘Buyer’. This document supersedes any Terms and Conditions laid out by the Buyer, unless agreed upon in writing. Skyra reserves all the rights to amend these terms and conditions at any time without giving prior notice. It is the responsibility of the Buyer to have read the terms and conditions while placing orders with Skyra.

Order Receipt: All Purchase Orders shall be transmitted in writing to SKYRA. They are binding upon acknowledgement of Order receipt by SKYRA. Any Delivery Time provided by Skyra is indicative after receipt of advance payment, even if the Purchase Order or Performa Invoice may be issued at an earlier date.

Order Cancellations: Purchase Orders are non-cancellable unless approved by Skyra in writing. If an order is cancelled or modified before the delivery date, Skyra is entitled to invoice the total amount of the order.

Samples Policy: All samples are chargeable if not returned within 3 Working Days. An invoice for the same will be released immediately with the payment due the following working Day.

Pricing Terms: Prices are valid until 31 March of the current financial year unless otherwise specified. Skyra reserves the right to change the contents and/or price and/or delivery charges of any Goods at any time without prior notification. The price payable shall be the total price specified in the Skyra’s current price list, less any discounts agreed in advance and plus the applicable cost of packaging, postage and delivery (“Delivery Charges”). Any discounts agreed by Skyra at the date of these terms and conditions shall have effect only for the duration of the period covered by the Customer invoice or sales confirmation letter/e‐mail unless specified in advance in writing. The prices are inclusive of GST
Payment Terms: Payment terms are 100% Advance unless otherwise specified.

Delivery Terms: Delivery terms are Ex-Warehouse Faridabad, India. All goods shall be dispatched at the risk of the Buyer. Whether contracted via Skyra or directly, Skyra will not be held liable whatsoever for any breakages, damages or losses during transport. For damages to be claimed with the transporter, a claim of damage or loss must be filed at the time of receiving material on company letterhead.

Minimum Order Value: The Minimum Order Quantity of all SKUs is 1 Case Pack, unless otherwise specified and the Minimum Order Value is US$ 3000 for overseas shipments.

Delivery Lead Time: General Timelines for delivery of Items in stock is 7 Calendar Days. Items Out of Stock are available in up to 60 Calendar Days after receipt of advance. These timelines are given for an indication purpose only. Any expressly agreed upon delivery times are also indicative and subject to delays. Any delay can only entail to cancelation of the order before delivery. Under no circumstances can it give rise to any claim for damages, penalties or the refusal of products.

Returns Policy: Returns will be processed within 7 days of Delivery, if the product is unopened in its original packing condition.

Warranty Period: All manufacturing defects have a 30 calendar day warranty. The Buyer shall inspect the goods immediately upon delivery. Any report of defective product after 30 calendar days will not be entertained by SKYRA. In case of a defect reported within 30 calendar days, it may be approved at the sole discretion of SKYRA. If approved, they will be covered by rectification of the defective component only. Any defects due to general wear and tear or user negligence will not be covered under the Warranty.

Product Installation: Skyra provides instructional videos of all products. Virtual installation guidance is available on request Free of Charge. On-site product installation by the Skyra team is chargeable at Rs. 5000 per day + any transport and lodging charges to be prepaid by the customer.

Replacements: All replacements are at the sole discretion of SKYRA. If approved, they will be dispatched as per the delivery terms of the original order.
Refund Policy: A Credit Note will be issued for any refunds. No Cash refunds are processed.

Remittance: Payments can be made in Cheque, Credit Card, Debit Card, Net Banking, Wire Transfer or Cash. Cheque payments are to be made on current date only in Favour of ‘Skyra Professional Equipment Pvt Ltd’.
By authorizing a payment to Skyra through the online payment service, it will be treated as a deemed acceptance to these terms and conditions. The credit card information provided at the time of remittance is processed by the payment gateway of a reputed third party service provider and is not provided by Skyra. It is the sole responsibility of the Buyer to ensure that the information entered in the relevant fields are correct. The Buyer shall retain a copy of the transaction, which might assist in resolution of any disputes that may arise out or usage of the service

The Buyer agrees, understands and confirms that his/ her personal data including without limitation details relating to debit card/ credit card/net banking transmitted over the Internet may be susceptible to misuse, hacking, theft and/ or fraud and that Skyra has no control over such matters.

Skyra and/or the Payment Service Providers shall not be liable for any inaccuracy, error or delay in, or omission of (a) any data, information or message, or (b) the transmission or delivery of any such data, information or message; or (c) any loss or damage arising from or occasioned by any such inaccuracy, error, delay or omission, non-performance or interruption in any such data, information or message

Bank Charges: Any remittance charges for payments are to be made by the Buyer, so that the net total amount received by SKYRA has to be the same as the total invoice value. Before issuing payments, it is recommended that the Buyer make necessary enquiries regarding charges or fees payable to the Buyer’s financial service provider or bank.

Overdue Payments: Any payments made after the due date will be charged an annual interest fee of 24% on a daily pro rata basis.

Reservation of Title: All delivered goods shall remain the property of SKYRA pending settlement of all claims, especially any net balance claims, to which SKYRA is entitled within the scope of the business relationship. All resellers shall refrain from pledging or allocating as a guarantee the products of which SKYRA will still be the owner. All legal and judiciary costs due to the recovery of the products will be borne by the Buyer.

Force Majeure: Strikes, Floods, Fires, Transport Disturbances or Interruptions, Difficulties of supply in raw material or Bought out Parts (BOP), important accidents affective the suppliers production, bankruptcy reorganization proceedings or winding up by a court’s decision of the subcontractors or suppliers, various accidents affecting the storage of products and, generally speaking, any events independent from SKYRA will having the effect of preventing or of delaying the manufacturing, the provision of the delivery of products are cases of absolute necessity which release SKYRA of any obligations to perform the orders and pay compensations, penalties of damage or delay.

Infringement: The Buyer undertakes neither to reproduce original parts by self or by a third-party manufacturer, or used forged parts or pirated copies.

Applicable Law: The sale of SKYRA products is governed by the Indian Law. Any dispute concerning an order made to SKYRA will be of exclusive jurisdiction of the commercial court of New Delhi.

Accepted by Buyer: These General sales conditions are expressly accepted by the Buyer. The Buyer declares knowing these Conditions perfectly, and consequently renounces to the application of any other document, especially any General Conditions of Purchase.
